End User License Agreement

Subject to your compliance with this End User License Agreement ("EULA") and the Terms of Service, Award AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Award AI software (the "Software") solely for your internal business purposes during the term of your subscription.

You may not, and may not permit any third party to:

• Copy, modify, or create derivative works of the Software.
• Reverse engineer, decompile, or disassemble the Software.
• Rent, lease, sell, sublicense, or otherwise transfer the Software.
• Remove or alter any proprietary notices.
• Use the Software to develop a competing product or service.
• Use the Software in violation of export controls or sanctions laws.

The Software is licensed, not sold. Award AI and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in this EULA.

We may issue updates, patches, and new versions of the Software from time to time. Such updates may add, change, or remove features. This EULA governs all updates unless they are accompanied by a separate license, which will then control.

The Software may include third-party open source components licensed under their own terms. Those terms apply to your use of the relevant components and are made available within the Software or upon request.

The Software processes data you submit and may transmit usage and diagnostic information to Award AI to operate, secure, and improve the Software. Our handling of personal data is described in our Privacy Notice.

The Software is "commercial computer software" as defined in FAR 2.101 and DFARS 252.227-7014. Use, duplication, or disclosure by the U.S. Government is subject to the restrictions set forth in this EULA and applicable government regulations.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. AWARD AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWARD AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

This EULA is effective until terminated. It will terminate automatically if you breach any term. Upon termination, you must stop using the Software and destroy all copies in your possession or control. Sections intended to survive termination will survive.

This EULA is governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware.
