Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Award AI ("we", "us", "our") and govern your access to and use of our website, applications, and related services (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current information when registering and to keep it up to date. We may suspend or terminate accounts that we reasonably believe violate these Terms.

You agree not to:

• Use the Service to violate any law, regulation, or third-party right.
• Reverse engineer, decompile, or attempt to extract source code.
• Interfere with the integrity, security, or performance of the Service.
• Submit content that is unlawful, infringing, or harmful.
• Use the Service to build a competing product or to benchmark for the purpose of producing a competing offering.

You retain all rights in the documents, RFPs, proposals, and other materials you submit to the Service ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, process, and display Customer Content solely as needed to provide the Service.

You are responsible for ensuring you have the rights necessary to submit Customer Content and that it does not violate applicable law, contractual obligations, or government handling requirements.

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice; changes apply at the start of your next billing period.

You authorize us (and our payment processors) to charge your payment method for all fees and applicable taxes.

The Service, including all software, designs, text, and trademarks, is owned by Award AI or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or fit for any submission.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWARD AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that creates risk to us, other customers, or third parties. Sections that by their nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The exclusive venue for any dispute will be the state or federal courts located in Delaware.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
